Role Description

Board member candidates must reside or have their primary work location within our local service areas of Cuyahoga, Lake, and Ashtabula counties.

SCOPE OF ROLE

• The Board of Directors provides leadership and governance to support the health center’s mission.
• The board is responsible for strategy, oversight and policy, and board functioning.
• The board carries out its governance functions as a group during board meetings.
• It delegates day-to-day operations and management to the Chief Executive Officer (CEO).
• The board and CEO work in partnership to support the long-term sustainability of the center.
• Health centers are governed by volunteer boards of directors.
• Health center boards must fulfill the general roles of other boards and additional requirements of the Health Resources and Services Administration (HRSA) Health Center Program.

HOW YOU’LL SUCCEED

• Ensures that Signature Health operates within its adopted bylaws.
• Defines organizational purpose through mission and vision.
• Provides oversight of essential elements of a health center including finance, quality, health center program, corporate compliance, and risk management.
• Participates in the development of and evaluates the strategic plan, including achievement of the overall mission.
• Participates in Board Education and encourages leadership development.
• Evaluates the effectiveness of the board and its leadership.
• Engages in the open discussion/debate of the issues and works collaboratively with all members.
• Hires, retains, and annually evaluates the Chief Executive Officer. Establishes compensation and conditions of employment.
• Approves and monitors Signature Health’s finances, including the annual budget and the annual audit.
• Monitors Signature Health’s expenditures.

EXPECTATIONS AND COMMITMENTS

• Supports the mission, goals and objectives of Signature Health.
• Maintains proper communications through the Board President and the Chief Executive Officer.
• Complies with monthly meeting and other requirements, e.g., quorum, capturing actions in board meeting minutes.
• Reads materials in advance and is prepared for board meetings.
• Serves on at least one board committee.
• Participates in Board orientation and planning sessions.
• Represents and promotes Signature Health Inc. as needed.
• Respects the confidential nature of work of the organization.

Requirements

• At this time, we are specifically seeking a Physician for this Board Member opportunity.
• Virtual attendance at monthly board meetings.
• Sufficient dexterity to operate a PC and other office equipment.
• All board members must complete an FBI background check prior to being appointed to the board.
• All board members must participate in ongoing OIG, GSA, Sanction, and exclusion list checks.
